Description

The Secretary plays a pivotal role in ensuring the effectiveness of various administrative and governance-related tasks associated with the board of directors.

Responsibilities:

  • Organizing meetings. Board meeting secretary duties include scheduling and preparing invitations for meetings. A person in this position also creates agendas according to the organization’s bylaws and distributes them to members, along with any supporting documentation.
  • Preparing Board materials. The secretary arranges meeting materials, such as reports and presentations, to be distributed prior to Board meetings.
  • Keeping minutes. The secretary will extract key information from meetings, takes detailed minutes, and sends them to the full Board of directors within a week.
  • Maintaining documentation. The secretary will review and update documents so they contain accurate and verified information. Board Secretary is responsible for preserving all meeting records approved by directors.

Term: all Directors serve a term of 3 years.

Meeting attendance: all Directors are expected to attend all monthly Board meetings (11 to 12 per year) at StepUp Durham's office, and serve on two Committees. Officers are expected to attend monthly Executive Committee Meetings.
